Terms of Service for Electronic Services by Mimira P.S.A.

Client Summary:
You create an account and start a 7-day free trial after adding a payment method. During the trial period, we do not charge any fees.
As part of the trial period, we offer standard search, matching, and public procurement analysis services, as well as the preparation of a bid document package for one proceeding.
If you do not cancel the cooperation within the 7-day trial period, the subscription starts automatically with a fee of PLN 500 net/month + VAT, payable in advance on a monthly basis.
The preparation of bid documents is not covered by the standard subscription - if you are also interested in support in this area, a separate contract will need to be concluded.
Payments are processed by Stripe; Mimira does not store full card details.
§1. Definitions
Service Provider / Mimira – MIMIRA Prosta Spółka Akcyjna, ul. Marszałkowska 89, 00-693 Warsaw, KRS 0001155658, NIP 7011246033, REGON 54090555600000, e-mail: [email protected], tel. +48 732 070 469.
Platform – the Mimira website/application available at platform.mimira.eu, enabling the use of the Services.
User – the entity using the Services (in particular an entrepreneur, including sole proprietorships) and individuals acting on its behalf (e.g., employees).
Account – the User's account on the Platform created as a result of registration.
Agreement – the agreement for the provision of electronic services (SaaS) concluded between the User and the Service Provider on the terms of the Regulations.
Trial Period – a 7-day, one-time test period activated for the Account, requiring the addition of a payment method.
Subscription – paid, monthly renewable access to the Platform for an indefinite period.
Billing Period – one month, for which the Fee is collected in advance.
Fee – the Subscription fee in the amount of PLN 500 net/month + VAT according to the applicable rate.
Stripe / Payment Operator – an entity from the Stripe group handling payments by the selected payment method and recurring charges for Mimira.
Bid Document Package – a set of documents prepared for the User for the purpose of submitting a bid in a public procurement proceeding (to the extent agreed and based on data provided by the User).
User Data – data, content, and files entered into the Platform by the User or on their behalf.
§2. General Provisions
The Regulations define the rules for the provision of services electronically by the Service Provider.
Acceptance of the Regulations is a condition for creating an Account and using the Platform. Upon creating an Account, the User enters into an Agreement with the Service Provider.
The Service Provider provides Services in a SaaS model, and in particular: tender searches, analysis and matching of tenders to the User's profile, and managing the process of participation in proceedings in the Platform (workflow).

§3. Technical Requirements and Account
To use the Platform, the following are required: a device with Internet access and up-to-date software enabling web browsing.
The User agrees to provide true and up-to-date data and to update them in the event of changes.
The User is responsible for the security of access to the Account (including the confidentiality of login details) and for activities performed in the Account.
§4. Trial Period, Bid Document Package and Automatic Transition to Subscription
The Trial Period lasts for 7 days from its activation for the Account. Activating the Trial Period requires adding a payment card in a process handled by Stripe.
During the Trial Period, the Service Provider does not charge a Subscription Fee. Stripe may perform card verification steps depending on the User's bank (e.g., technical authorization).
Within the Trial Period, the User is entitled to request once the preparation of one Bid Document Package.
The Package is prepared based on information and materials provided by the User; the User is responsible for their completeness and compliance with the requirements of the proceeding.
The Service Provider does not guarantee obtaining the order or any specific outcome of the proceeding.
Additional packages or work exceeding one Package in the Trial Period require separate arrangements.
The User may cancel the Trial Period at any time before its completion via the billing functionality provided within Stripe. The result of cancellation is no fees (PLN 0) and no start of the Subscription.
If the User does not cancel the Trial Period within 7 days, the Subscription automatically begins after its end, and the Fee for the first Billing Period is collected in advance.
§5. Subscription, Payments, Invoices, and Arrears
The Subscription is concluded for an indefinite period and billed monthly, with automatic renewal for consecutive Billing Periods.
The Fee is PLN 500 net/month + VAT. VAT is charged in accordance with the regulations applicable to the transaction.
Payments are processed by card through Stripe. The User authorizes the Service Provider (via Stripe) to collect recurring Fees until the Subscription is cancelled.
The Service Provider does not store full payment card details; card data handling takes place on Stripe's side.
Invoices are generated and sent automatically in electronic form to the email address assigned to the User's Account.
In case of failure to successfully collect the Fee, the Service Provider may: (i) retry payment collection attempts in accordance with Stripe's mechanisms, (ii) demand settlement of the outstanding amount, (iii) restrict or suspend access to the Platform until payment is made, and after an unsuccessful demand, pursue claims legally.
The Service Provider may change the amount of the Fee for important reasons (in particular, a change in the costs of providing services or a change in the market scope/conditions). The change will be announced at least 30 days in advance. In the absence of acceptance, the User may cancel the Subscription effective at the end of the current Billing Period.
§6. Scope of Services after the Trial Period
Within the Subscription, the Service Provider provides the Platform for: searching and monitoring tenders, analyzing and matching tenders, and carrying out the process of participation in proceedings (workflow) in the application.
Preparation of bid documentation after the Trial Period is not covered by the Subscription Fee. The provision of such work may take place solely on the basis of a separate contract.
The Service Provider may refuse to execute additional work without concluding separate arrangements regarding the scope, deadline, and remuneration.
§7. User Obligations and Anti-abuse Restrictions
The User agrees to use the Platform in compliance with the law, the Regulations, and the purpose of the Services, and in particular to not enter unlawful content or content violating the rights of third parties.
Specifically forbidden are:
decompilation, reverse engineering, bypassing security measures;
bulk data collection (scraping) or automatic querying without the consent of the Service Provider;
actions destabilizing the Platform or breaching security;
sharing access with unauthorized persons.
In the event of a justified suspicion of violations, the Service Provider may temporarily limit access to the Platform or block the Account to the extent necessary to protect the security and rights of the Service Provider or third parties.
§8. Confidentiality and Data Entered into the Platform
The User retains all rights to the User Data. The Service Provider uses it only to the extent necessary to perform the Agreement and in accordance with the Privacy Policy.
The Parties agree to maintain the confidentiality of information obtained in connection with the execution of the Agreement which is not publicly available, except for disclosure obligations arising from legal provisions.
§9. Intellectual Property Rights
Rights to the Platform (including code, interface, documentation, and designations) belong to the Service Provider or its licensors.
For the duration of the Agreement, the Service Provider grants the User a non-exclusive and non-transferable right to use the Platform to the extent necessary to utilize the Services.
The User does not acquire any rights to the Platform other than the right of use resulting from the Agreement.
§10. Liability
The Platform is provided on an "as is" basis. The Service Provider does not guarantee that using the Platform will lead to securing an order or any specific business outcome.
The Service Provider is not liable for the consequences of decisions made by the User based on the results of analyses, recommendations, or data available on the Platform.
The liability of the Service Provider (regardless of the legal basis) is limited to the total amount of Fees paid by the User for the last three Billing Periods preceding the event causing the damage.
The Service Provider is not liable for lost profits or indirect damages, unless mandatory provisions of law state otherwise.
The limitations do not apply in case of damage caused intentionally and to the extent that the exclusion of liability would be invalid under the law.
§11. Term of the Agreement, Cancellation, and Termination
The Agreement is valid from the creation of the Account until its termination.
The User may cancel the Subscription at any time (via Stripe's billing functionality). Effect of cancellation: the Subscription will not renew for the next Billing Period, and access to the Platform remains until the end of the paid Billing Period.
The Service Provider may terminate the Agreement with immediate effect in case of a gross violation of the Regulations or law, in particular security breaches or persistent lack of payment.
§12. Complaints
Complaints regarding the operation of the Platform should be reported to [email protected], providing details identifying the Account and a description of the issue.
The Service Provider will respond within 14 business days of receiving the complaint; in complex cases, the timeframe may be extended up to 30 days, about which the User will be informed.
§13. Amendments to the Regulations
The Service Provider may amend the Regulations for important reasons (in particular, changes in law, security, or the manner of providing Services).
The Service Provider will inform about the changes at least 14 days in advance through a message on the Platform and/or email.
If the User does not accept the changes, they may cancel the Subscription effective at the end of the current Billing Period.
§14. Applicable Law, Negotiations and Jurisdiction
The Agreement is governed by Polish law.
The Parties will first attempt to resolve any dispute amicably, in particular through negotiations.
In the absence of an agreement, the dispute shall be resolved by the common court having jurisdiction over the registered seat of the Service Provider.
The invalidity of parts of the provisions does not affect the validity of the remaining ones; the invalid provision will be replaced by a solution as close as possible to the economic objective.
